These Terms of Service ("Terms") govern your access to and use of the services, software, and websites operated by GeneOps Inc. ("GeneOps", "we", "us", or "our"), a Delaware corporation. By accessing or using our services, you agree to be bound by these Terms.
If you are using the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
GeneOps provides genomic intelligence infrastructure, including research knowledge bases, analysis APIs, white-label integration components, and related services (the "Services"). The Services are designed for use by health and wellness platform operators, researchers, and developers.
GeneOps provides structured research intelligence, not clinical diagnostics or medical advice. Outputs from the Services are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
Access to the API and integration components requires a partner agreement. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Genetic data is processed in accordance with our Privacy Policy and applicable law, including the GDPR where applicable. GeneOps acts as a data processor on behalf of partners who are data controllers for their users' data.
Raw genotype data submitted for analysis is retained only for the duration necessary to process the request and is not shared with third parties. Partners are responsible for obtaining appropriate consent from their end users prior to submitting genetic data to the Services.
The GeneOps research knowledge base, analysis engine, and all associated intellectual property remain the exclusive property of GeneOps Inc. These Terms do not grant you any rights to GeneOps intellectual property beyond the limited license to use the Services as described herein.
Research citations and references to third-party publications are provided for attribution purposes. GeneOps does not claim ownership of underlying scientific research.
The Services are provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, GeneOps disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
GeneOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability to you for any claims arising from these Terms shall not exceed the fees paid by you to GeneOps in the twelve months preceding the claim.
You agree to indemnify and hold harmless GeneOps Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
We may update these Terms from time to time. Material changes will be communicated to active partners via email or through the partner portal. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
